Terms of Service

Please read these terms carefully before using AgoraDeck. By creating an account or using the service you agree to be bound by them.

1 Acceptance of Terms

By accessing or using AgoraDeck (the "Service"), you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

The Service is operated by AgoraDeck ("we", "us", or "our"). When these Terms refer to "we", "us", or "our", they refer to AgoraDeck.

If you use the Service on behalf of a company, studio, agency, or other organisation, you represent and warrant that you have authority to bind that organisation to these Terms. In that case, "you" and "your" refer to both you and the organisation.

If you do not agree with any part of these Terms, you must not use the Service.

2 Description of Service

AgoraDeck is a private contact management and project planning tool for professionals who work with freelance and contract talent. Core features include:

  • A private directory of freelance contacts including rates, skills, and availability notes
  • Shortlisting and comparing candidates for projects
  • Budget planning against role requirements
  • Portfolio image storage for contacts

We use reasonable care and skill in providing the Service but do not guarantee that it will always be uninterrupted, secure, or error-free. We reserve the right to modify, suspend, or discontinue any feature or the Service itself at any time with reasonable notice where possible.

3 User Accounts

To access the Service you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and not share it with any third party
  • Notify us immediately at admin@agoradeck.com if you suspect unauthorised access to your account
  • Accept responsibility for all activity that occurs under your account

You may not share login credentials, access another user's account without permission, or create accounts using false or misleading information.

We reserve the right to suspend or terminate accounts that violate these Terms, create legal or security risks, engage in fraudulent activity, or remain inactive for an extended period.

4 Subscription & Billing

Certain features of the Service require payment of subscription fees. By purchasing a subscription, you agree that:

  • Fees are billed in advance on a recurring basis unless otherwise stated
  • Subscriptions renew automatically until cancelled
  • You authorise us and our payment providers to charge applicable fees, taxes, and renewals
  • You are responsible for maintaining valid payment details

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period unless otherwise specified.

Except where required by law, subscription fees are non-refundable. We reserve the right to change pricing upon reasonable prior notice. We may suspend access to paid features for overdue accounts.

5 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Store, transmit, or distribute unlawful, defamatory, abusive, infringing, or harmful content
  • Upload malware, viruses, trojans, or other malicious code
  • Attempt to gain unauthorised access to any part of the Service or related systems
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated means (scrapers, bots, crawlers) to access the Service without express written permission
  • Resell, sublicense, or otherwise commercialise access to the Service
  • Use the Service to harass, spam, unlawfully profile, or harm individuals
  • Upload special category or highly sensitive personal data unless permitted by applicable law
  • Use the Service for solely automated decision-making that produces legal or similarly significant effects on individuals
  • Violate any applicable law, regulation, export control, sanctions, or third-party rights

You represent and warrant that you own or have permission to upload any files, images, or other content submitted to the Service.

We reserve the right to investigate and take appropriate action against violations, including removing content, suspending accounts, and cooperating with law enforcement.

6 Customer Data & Data Protection

"Customer Data" means all data, content, contact records, notes, files, portfolio materials, images, and other materials submitted to or stored within the Service by you. As between you and AgoraDeck, you retain all rights, title, and interest in Customer Data.

AgoraDeck allows you to store personal data relating to third-party individuals ("Contact Data"), including names, email addresses, rates, and portfolio materials. By storing such data you confirm that:

  • You are the data controller for Customer Data and Contact Data you upload
  • You have a lawful basis to store and process each contact's personal data under applicable law, including UK GDPR where applicable
  • You have obtained any necessary consents or can rely on a legitimate interests ground
  • You will honour access, rectification, or deletion requests from contacts in respect of data you hold about them
  • You will not store special category (sensitive) personal data about contacts
  • You will not upload unlawful, infringing, confidential, or improperly obtained information

AgoraDeck acts as a data processor on your behalf. We process Customer Data solely to operate, secure, maintain, and improve the Service. Authorised personnel may access Customer Data on a need-to-know basis for support, debugging, quality assurance, and service improvement purposes, subject to confidentiality obligations.

We do not sell Customer Data to third parties.

We do not use private Customer Data, Contact Data, or uploaded portfolio materials to train publicly shared machine learning or AI models without your explicit consent.

We are not responsible for the accuracy, legality, or appropriateness of Customer Data uploaded by you. You agree to indemnify and hold harmless AgoraDeck against claims arising from Customer Data or your use of the Service in violation of applicable law.

7 Intellectual Property

The Service, including all software, design, text, graphics, and logos, is owned by or licensed to AgoraDeck and protected by copyright, trade mark, and other intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own internal business purposes.

You retain ownership of Customer Data you enter into the Service. By uploading content you grant AgoraDeck a limited licence to host, process, store, transmit, and display such content solely as necessary to provide the Service to you.

You must not use our trade marks, logos, or brand assets without prior written consent.

8 Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains what personal data we collect about you, how we use it, and your rights in relation to it.

By using the Service you acknowledge that you have read and understood the Privacy Policy.

9 Security

We implement reasonable technical and organisational measures designed to protect Customer Data and account information against unauthorised access, misuse, alteration, loss, or disclosure.

However, no internet-based service can be guaranteed completely secure, and you acknowledge that you use the Service at your own risk. You are responsible for maintaining secure passwords and protecting access to your devices and accounts.

10 Availability & Uptime

We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated in advance where practicable. We are not liable for any loss caused by downtime, data unavailability, or technical failure.

You are responsible for maintaining backups of any critical data. While we take reasonable steps to protect your data, we strongly recommend exporting your data periodically using the export feature available in your account settings.

Upon account deletion, Customer Data will be deleted from active systems within a reasonable period, subject to backup retention schedules, legal obligations, and legitimate operational requirements.

11 Termination

You may close your account at any time from your account settings. Upon account deletion, your personal data and all Contact records you have stored will be permanently deleted from our systems, subject to any legal retention obligations.

We may suspend or terminate your access immediately if you materially breach these Terms, your use creates security or legal risks, fees remain unpaid, or we are required to do so by law.

Termination does not affect any accrued rights or obligations. Sections covering intellectual property, data protection, disclaimers, limitation of liability, and governing law survive termination.

12 Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • Any errors in the Service will be corrected
  • Results obtained from use of the Service will be accurate or reliable

Nothing in these Terms shall exclude or limit any warranty or liability that cannot be excluded or limited under applicable law, including consumer protection legislation.

13 Limitation of Liability

To the maximum extent permitted by applicable law, AgoraDeck and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or data, arising out of or in connection with your use of or inability to use the Service.

Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be excluded under applicable law.

14 Force Majeure

We are not liable for delays, failures, or interruptions caused by circumstances beyond our reasonable control, including internet outages, cloud provider failures, cyberattacks, labour disputes, natural disasters, governmental actions, or failures of telecommunications infrastructure.

15 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in another jurisdiction, you may have additional legal rights under your local law that these Terms cannot override.

16 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where reasonably practicable, notify you by email or via an in-app notice before the changes take effect.

Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account.
